Joey — Terms of Service (English)

Draft prepared 30/08/2026 for legal review. Not a final, legally-binding document. Every [BRACKETED] item is a legal or business decision that has not been made yet. A complete list of every open item is repeated at the end of this document. This draft is grounded in what the Joey Rider and Joey Driver apps actually do today, verified against the codebase — not a generic template.

Effective date: [EFFECTIVE DATE] Last updated: 12/09/2026 (draft)

1. Acceptance of these terms

These Terms of Service ("Terms") govern your use of the Joey Rider and Joey Driver mobile applications (together, "Joey," "we," "us," "our"), operated by:

Y.A.R. Zemach Holdings Ltd. 25/4 Nissenboim, Netanya, IL 4247261 [BUSINESS REGISTRATION NUMBER]

By creating an account or using either app, you agree to these Terms and to our Privacy Policy.

2. What Joey is

Joey is a platform that connects riders and delivery senders with independent, licensed vehicle operators. Joey does not itself provide transportation or delivery services, and is not a taxi or delivery company — it operates the technology that lets riders and drivers find and transact with each other. Drivers on Joey are independent operators, not Joey employees or agents. [This positioning is an intentional legal/regulatory choice already reflected in the project's design (see CLAUDE.md §8 — Joey is described internally as "a connection venue between a rider and a licensed vehicle owner," with license-to-vehicle-type matching handled through the driver approval process, not through pricing logic). A lawyer should review and confirm this framing is legally sound before publication — it is not a decision this document is making on its own.]

Joey offers two services, selectable in the Joey Rider app:

3. Eligibility

You must be at least [MINIMUM AGE] years old to create a Joey account. [Confirm this age with a lawyer — see the related, separate question of the minimum age for personal-data collection in the Privacy Policy §10, which may not be the same number.] By using Joey, you confirm that the information you provide during registration is accurate.

4. Accounts

5. Pricing and payment

Israeli law requires a licensed taxi to charge fares based on its official physical meter, not an app-generated price. This affects who sets the price, not how it's charged — Joey always charges your saved payment card automatically, for every vehicle type. There is no cash payment, and you never pay a driver directly.

6. Cancellations and cancellation fees

7. Promo codes

Promo codes, where offered, are subject to the specific terms shown at the time of use, are not transferable, and may be withdrawn or changed by Joey at any time.

8. Driver eligibility, documents, and approval

If you register as a driver:

9. Code of conduct

You agree not to:

Violation of this section may result in suspension or termination of your account.

10. Ratings

Riders and drivers may rate each other after a completed ride. Ratings are used to maintain service quality and may factor into account review decisions. [Confirm whether/how a rating threshold affects account status — not currently automated in the app; ratings are recorded and displayed but do not currently trigger any automatic account action.]

11. In-app communication and safety features

12. Account deletion

You may request deletion of your account at any time, as described in the Privacy Policy §7 — a 30-day grace period during which you can cancel, and your phone number released for future reuse once it completes.

When a deletion request cannot be made. The request will be refused while any of the following is true, and the app will show you which one is blocking it:

What is kept after deletion. Your ride and payment history is retained and detached from your name, phone and email — but the content itself is kept in full, including the pickup and drop-off addresses of your rides, the full text of your chat messages, and the rating comments you wrote. The precise list, and the reasons for it, are in Privacy Policy §7.4 — read it before submitting a deletion request. [Expanded 10/09/2026: the previous wording ("ride/payment history retained, linked to an anonymized account") was accurate but too general, and did not mention the eligibility conditions for deletion at all.]

13. Disclaimers and limitation of liability

[This entire section requires drafting by a lawyer. It must not be based on a generic template — it needs to accurately reflect that: Joey is a connection platform, not a transportation provider (§2); pricing for taxi rides is a meter-based estimate that Joey does not control (§5); Joey performs a driver document/approval review but that review does not substitute for the driver's own legal licensing obligations (§8); the SOS feature has explicit limitations (§11). None of the above should be treated as final liability language — only as the factual basis a lawyer needs to draft this section correctly.]

14. Termination by Joey

Joey may suspend or terminate your account for violation of these Terms, fraud, safety concerns, or as required by law. Where practical, we will provide notice of the reason. [Verify 10/09/2026: the suspension or rejection reason IS recorded in the system by staff, but no screen in either app currently shows it to the user — in practice notice would have to go through another channel (support). "Where practical" covers this legally, but committing to actual notice would require building that path.]

15. Governing law and disputes

[GOVERNING LAW / JURISDICTION / DISPUTE RESOLUTION MECHANISM — legal decision, not made in this draft. Israel is a reasonable default given the product's regulatory context (see §5's taxi-meter requirement, which is Israeli law), but the exact clause, competent court/arbitration mechanism, and any consumer-protection carve-outs required under Israeli law need a lawyer's drafting, not assumption.]

16. Changes to these terms

[Decide and state the notice mechanism for material changes to these Terms — business/legal decision, not yet made. Likely the same mechanism chosen for the Privacy Policy §12, for consistency.]

Open items — everything that needs a decision before this can be published

Updated 10/09/2026: this document was checked against the actual code and three divergences were found and corrected in the body: collection of plate number / vehicle model (§8), chat availability after a ride ends (§11), and the eligibility conditions for account deletion (§12). See STATUS.md §59.

  1. ✅ Legal entity name and business address — set 01/10/2026 (§1). Business registration number — still open.

  2. Effective date (top of document)

  3. Lawyer confirmation of the "platform, not a transportation provider" legal framing (§2)

  4. Minimum age to use Joey (§3) — and confirm it's consistent with, or deliberately different from, the Privacy Policy's data-collection age threshold

  5. Whether one person may hold both a rider and a driver account (§4) — not currently technically enforced

  6. Confirm the current free-cancellation window (3 minutes) and cancellation fee amount (₪15) are still accurate before publishing (§6)

  7. Describe the actual current driver document-resubmission process (§8) — the in-app flow doesn't exist yet as of this draft

  8. Confirm and describe the actual current driver payout process (§8) — currently manual/monthly, not an in-app feature; decide how much detail belongs in these Terms vs. a separate driver agreement

  9. Confirm whether/how ratings affect account status (§10) — not currently automated

  10. Lawyer-drafted safety-feature disclaimer (§11)

  11. Full disclaimers and limitation-of-liability section (§13) — needs complete lawyer drafting, not just fact-checking

  12. Governing law, jurisdiction, and dispute resolution mechanism (§15)

  13. Notice-of-changes mechanism (§16)

  14. 🔴 Whether a promo discount may be applied to a taxi ride, so the rider pays less than the metered amount (§6) — added 18/09/2026. A car ride is priced from the official taxi price-control order, and since 18/09/2026 the code supports a promo code that reduces the amount actually charged. The reasoning: the order sets a maximum price, so charging less is a commercial discount by Joey rather than a departure from the tariff — but that is a developer's conclusion, not a lawyer's, and it has not been checked against the order or with the regulator. Confirm before any promo code is ever enabled for car. Not urgent in practice: the promo table is empty, car has not yet moved to metered_tiered, and no ride has ever carried a code.
